1. Acceptance of Terms

By accessing or using Netzeal’s website and services (including Digital Marketing, AI/ML solutions, Data Analytics, and Creative Services), you agree to be bound by these Terms & Conditions.

2. Services and Engagements

• Scope, deliverables, and timelines will be defined in proposals, SOWs, or agreements.
• Client responsibilities include timely feedback, content approvals, and access to necessary accounts or data.
• AI/ML outputs and analytics are provided on a best-effort basis, with results dependent on data quality and external factors.

3. Fees and Payments

• Fees, payment terms, and billing cycles are specified in the engagement documents.
• Late payments may incur penalties or suspension of services.
• All fees are exclusive of taxes unless stated otherwise.

4. Intellectual Property

• Pre-existing IP of each party remains with that party.
• Unless agreed otherwise, final deliverables are assigned to the client upon full payment.
• We may reference non-confidential project outcomes in our portfolio and marketing materials.

5. Confidentiality

Each party agrees to protect confidential information shared during the engagement and use it solely for service delivery, unless disclosure is required by law.

6. Acceptable Use

You agree not to misuse our site or services, including unauthorized access, interference, infringement, or any unlawful activity.

7. Warranties and Disclaimers

Services are provided “as is” and “as available”. We do not guarantee specific outcomes for marketing or AI/ML initiatives. To the maximum extent permitted by law, we disclaim all warranties.

8. Limitation of Liability

We are not liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability shall not exceed the fees paid for the services giving rise to the claim.

9. Termination

Either party may terminate for convenience with notice as defined in the engagement terms, or immediately for material breach. Upon termination, accrued fees remain payable.

10. Governing Law

These Terms shall be governed by the laws of India, without regard to conflict of law principles. Disputes shall be subject to the exclusive jurisdiction of courts in Pune, Maharashtra.

11. Changes to Terms

We may update these Terms & Conditions periodically. Continued use of the site or services after changes constitutes acceptance of the revised Terms.
